"b) if the Put Option Parties are unable to reach an agreement on the Put
Option Price in the GmbH, the Limitada or a RoW Entity, if any, as set forth
above within 60 days, then either Put Option Party may, by written notice to
the other, request to resolve the dispute with respect to such Entity, where
no agreement on the Put Option Price has been reached, in accordance with
the dispute resolution regulations as set forth in Article 11.2 of the Shareholders' Agreement."
