9.1 The Side 1 and the Side 2 shall exert every effort to settle all disputes and differences
which may arise out of this Contract or in connection with it amicably. ln case, if the parties
fail to come to an agreement, all the discords (with exception of criminal matters) shall be
submitted for settlement to arbitration with its seat in Zurich, Switzerland.

9.2 Swiss Law, without reference to Switzerland's choice of law rules and without reference
to the Convention on the International Sale of Goods, shall apply to this contract."
