Each of the Parties hereto shall pay their respective legal and accounting costs and expenses incurred in connection with the preparation, execution and delivery of this Agreement and all documents and instruments executed pursuant hereto and any other costs and
expenses whatsoever and howsoever incurred.

9.3 Assignment

No Party may assign all or any part of his/its rights and/or obligations under this Agreement,
whether by operation of law or otherwise, without the written consent of the other Party.
