The purchase price for the Sale Shares amounts to CHF 4.25 Mio. ("Swiss Francs four million two-hundred-fifty thousand" 00/100) which corresponds to the purchase price under the
SPA D.________ GmbH – A.________ AG (“Purchase Price“).

3 SIMULTANEOUS SIGNING AND CLOSING

Closing of this transaction shall take place (the "Closing") on or before 12 October 2018
("Closing Date").

On Closing Date, the Buyer shall transfer the Purchase Price. Upon receipt of the Purchase
Price, the Seller shall immediately cause the transfer of the Sale Shares to the Buyer.
