The Committee's interpretation of the Plan or of any Awards granted thereunder shall be
final and binding on all parties concerned, including the Company and any Participant. The
Committee shall have the authority, subject to the provisions of the plan, to correct any
defect or supply any omission or reconcile any inconsistency in the Plan and to adopt, revise
and rescind such rules, regulations, guidelines, forms of agreements and instruments relating to the Plan as it may deem necessary or advisable for the administration of the plan".
