      "Text": "Steuerbares Eigenkapital einer Kapitalgesellschaft, Art. 96 und Art. 97 lit. a StG, Art. 29 Abs. 1 und Abs. 2 lit. a StHG. Die Aktien der steuerpflichtigen Immobilien-AG hatten mehrmals den Eigentümer gewechselt, wobei aber nie eine Aktienmehrheit übertragen und die Gewinne daher nie im Rahmen einer sog. wirtschaftlichen Handänderung erfasst wurden. Eine solche erfolgte erst im Jahr 2006, wobei die entsprechende Veranlagung der Aktionäre mit der Grundstückgewinnsteuer unangefochten rechtskräftig wurde. Im Jahr 2009 veräusserte die Gesellschaft ihr Grundstück selbst. Gegen die Veranlagung des Kapitals der Steuerperiode 2007 erhob sie Rekurs und verlangte, es seien nicht nur die mit der Grundstückgewinnsteuer im Jahr 2006 erfassten Mehrwerte, sondern sämtliche bis zu jener Handänderung realisierten Wertzuwachsgewinne von ca. 3,2 Mio. Franken aufzurechnen. Für die Kapitalsteuer 2007 hatte die Veranlagungsbehörde aber zu Recht ausschliesslich den steuerlich erfassten Wertzuwachs erfassen, weshalb der Rekurs der Gesellschaft unbegründet war (Verwaltungsrekurskommission, Abteilung I/1, 22.
