Reference Price is the arithmetic mean of the VWAPs of one Share on the later
of (i) the twenty Trading Days starting on (and including) 3
January 2017 and ending on (and including) 30 January 2017
or (ii) the twenty Trading Days starting on (and including) the
third Trading Day after the closing of the rights offering
pursuant to the Capital Increase.
