All rights and obligations of each InvestCo, in its capacity as holder of MPP
Shares, including in accordance with the Companies Act or under the

Articles of Association, shall be exercised exclusively by and through the
Sponsors in their sole discretion (S. 32 Ziff. 9.2.2 lit. a).

The Sponsors represent and act on behalf of each InvestCo at general
meetings of LuxCo and exercise all voting rights attached to the MPP
Shares in their sole discretion including in order to give effect to the
provisions of the Lender Warrantholders Agreements (S. 32 Ziff. 9.2.2
lit. b)
