Each Participant (via their ownership of the InvestCos) declares to have a
pure financial interest in LuxCo and each InvestCo therefore irrevocably
transfers (and each Participant consents to such transfer) to the Sponsors
– and waives in relation to all current and futures holders of Shares in
LuxCo and other equity related instruments (whether issued prior to or after
this Agreement) of LuxCo – all administrative and minority rights (including
any voting and veto rights) attached
