Loan: The Parties hereby convene that all previous agreements loans or
debts existing between I. and J. and/or companies related to them are hereby replaced by a unique and global amount of 1'150'000 (one million one
hundred and fifty thousand) euro owed by J. to I. (the "loan")."

Unter dem Titel Erwägungsgründe ("Recitals") wurde zudem festgehalten,
